The template

This agreement sets the confidentiality obligations of an independent contractor who will access non-public information while providing services. It supplements, and does not replace, the services agreement between the parties.

1. Parties

This agreement is between Company name (the "Company") and Contractor full name (the "Contractor"), providing services described as Services description. It takes effect on Effective date.

2. Confidential information

  1. "Confidential information" means any non-public information of the Company β€” or of the Company's clients, partners, or suppliers β€” that the Contractor accesses, receives, or observes in connection with the services.
  2. It includes, without limitation: business plans, financial data, pricing, customer lists and customer data, personal data, product roadmaps, designs, source code, infrastructure details, credentials, and internal communications.
  3. Information is covered whether or not it is marked confidential, if a reasonable professional would treat it as non-public.
  4. Confidential information excludes information that is or becomes public without the Contractor's fault, that the Contractor lawfully knew beforehand without restriction, that a third party lawfully provides without restriction, or that the Contractor develops independently without using the Company's information.

3. Core obligations

  1. Use confidential information only to perform the services, and for no other purpose β€” including no use for other clients or personal projects.
  2. Protect it with at least reasonable care and never less care than the Contractor applies to their own most sensitive information.
  3. Not disclose it to anyone except the Company's personnel, or subcontractors the Company has approved in writing who are bound by terms at least as protective as this agreement.
  4. Notify the Company promptly of any actual or suspected loss, breach, or unauthorized disclosure, and cooperate to contain it.

4. Handling client and third-party materials

  1. Materials the Company shares that belong to its clients or partners carry the same protections as the Company's own confidential information, plus any stricter handling rules the Company communicates.
  2. The Contractor will store Company and client materials only in systems and locations the Company approves, and will not upload them to personal cloud storage, personal repositories, or third-party tools without written approval.
  3. The Contractor will not use confidential materials as training examples, portfolio pieces, or public demos without the Company's prior written consent.

5. Credentials and devices

  1. Access credentials are personal to the Contractor and must not be shared, reused across services, or stored insecurely.
  2. The Contractor will use reasonable security measures on any device used for the services, including screen lock, disk encryption where available, and prompt installation of security updates.
  3. On the Company's request or when the engagement ends, the Contractor will stop using all credentials and confirm that access has been removed from personal devices and password managers.

6. Compelled disclosure

If the Contractor is legally required to disclose confidential information, the Contractor will disclose only what is required and, where lawful, give the Company prompt written notice first so it can seek protective treatment.

7. Return and deletion

When the engagement ends, or earlier on request, the Contractor will return or permanently delete all confidential information and copies in their possession β€” including local files, notes, and exports β€” and confirm completion in writing. Copies retained by law or routine automated backup remain subject to this agreement.

8. Duration

These obligations apply during the engagement and continue for Confidentiality period after engagement after it ends. Obligations for trade secrets and for third-party personal data continue for as long as the law protects them.

9. Remedies and general terms

  1. Unauthorized use or disclosure may cause harm that money damages cannot adequately remedy; the Company may seek injunctive or other equitable relief in addition to other remedies.
  2. Nothing in this agreement transfers any intellectual property; ownership of work product is governed by the services agreement.
  3. This agreement, together with the services agreement, is the entire understanding on confidentiality; amendments must be written and signed. An unenforceable provision does not affect the rest.
