The template

This short agreement protects confidential information a candidate may see while interviewing or completing a work trial. It is limited to the hiring process and is not an offer of employment or engagement.

1. Parties

This agreement is between Company name (the "Company") and Candidate full name (the "Candidate"), interviewing for the position of Role title. It takes effect on Effective date.

2. What is confidential

  1. "Confidential information" means non-public information the Candidate sees, hears, or accesses during the hiring process β€” including interviews, take-home exercises, work trials, demos, and office or system access.
  2. Examples include: product plans and roadmaps, unreleased features, source code, technical architecture, business metrics, pricing, customer and employee information, and internal documents or discussions.
  3. Information counts as confidential whether or not it is marked, if a reasonable person would understand it to be non-public.

3. What the candidate agrees to

  1. Use confidential information only to participate in the hiring process.
  2. Not share it with anyone, publish it, or post about it β€” including in portfolios, blogs, or social media.
  3. Not keep copies of confidential materials after the process ends, and delete or return anything received on request.
  4. Not use confidential information in any current or future work for another company.

4. What is not restricted

  1. Information that is or becomes public through no fault of the Candidate, that the Candidate already knew lawfully, or that the Candidate develops independently without using the Company's information.
  2. The Candidate's own general skills, knowledge, and experience, including anything the Candidate learns in general terms about the industry.
  3. The Candidate may say they interviewed with the Company, unless the Company asks in writing to keep the process itself confidential.

5. Work produced during the process

If the Candidate completes an exercise or trial task using the Company's confidential materials, the deliverable itself may be discussed with the Company freely, but the Candidate will not publish the underlying confidential materials. Ownership of trial work, and any compensation for it, is addressed separately in writing if applicable.

6. Duration

These obligations start on the effective date and continue for Confidentiality period after the hiring process ends, regardless of the outcome. Obligations for trade secrets last as long as the information remains a trade secret.

7. No employment promise

Signing this agreement does not create an employment or engagement relationship, does not obligate the Company to make an offer, and does not obligate the Candidate to accept one.

8. Remedies and general terms

  1. Unauthorized disclosure may cause harm that money alone cannot fix; the Company may seek injunctive or other equitable relief in addition to other remedies.
  2. This is the entire agreement about confidentiality during the hiring process; changes must be in writing and signed by both parties.
  3. If any provision is unenforceable, the rest remains in effect.
