The template

This letter confirms the wind-down of the contractor engagement described below and sets out the final deliverables, invoicing, and access logistics so both sides can close the engagement cleanly.

1. The engagement

Company name (the "Company") confirms that the engagement of Contractor name or entity (the "Contractor") for Engagement or project name will end on Engagement end date.

2. Final deliverables

  1. The deliverables outstanding at the time of this letter are: Final deliverables summary.
  2. Please deliver these, together with source files and any work product created under the engagement, by Final deliverables due date.

3. Final invoice

  1. Please submit your final invoice, covering all remaining fees and approved expenses, by Final invoice submission deadline.
  2. Send it to Billing contact email. It will be paid under the payment terms of the underlying agreement.

4. Access and materials

  1. Your access to Company systems, repositories, and tools will be removed on Access removal date. Please flag anything you still need before then to complete the handover.
  2. Please return or delete Company confidential materials in your possession, except copies you must keep for legal or accounting records.

5. Surviving obligations

The provisions of the underlying agreement that survive its end — including confidentiality, intellectual property assignment, and any post-engagement commitments — remain in effect according to their terms.

6. Thank you

Thank you for the work you delivered during this engagement. We would be glad to work together again and are happy to serve as a reference where appropriate. For any questions about this wind-down, contact Company contact name and email.
