The template

This agreement commissions specific work and establishes that the company owns the resulting deliverables from the moment they are created. It combines a work-for-hire designation with a backup assignment so ownership is clear regardless of how the law classifies the work.

1. Parties and commissioned work

This agreement is between Company name (the "Company") and Creator full name (the "Creator"). It takes effect on Effective date.

The Company commissions, and the Creator agrees to produce, the following work (the "Deliverables"): Deliverables description, to be delivered by Delivery date.

2. Ownership

  1. The parties intend the Deliverables to be works made for hire for the Company to the fullest extent the law allows, so that the Company owns them from creation.
  2. To the extent any Deliverable, or any part of it, does not qualify as a work made for hire, the Creator assigns to the Company β€” fully, irrevocably, and effective on creation β€” all right, title, and interest in it, including all intellectual property rights worldwide.
  3. To the maximum extent the law allows, the Creator waives moral rights in the Deliverables and consents to the Company's use, modification, and publication of them with or without attribution.
  4. The Company may use, adapt, combine, sublicense, and commercialize the Deliverables without further payment beyond the fees in this agreement, unless stated otherwise here.

3. Creator materials and third-party content

  1. If the Creator incorporates pre-existing materials they own ("creator materials"), the Creator lists them here: Creator materials list, and grants the Company a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license β€” with the right to sublicense β€” to use them as part of the Deliverables.
  2. The Creator will not include third-party or open-source content in the Deliverables without the Company's prior written approval, and will document the license terms of anything approved.

4. Delivery and acceptance

  1. The Creator will deliver the Deliverables in the format and through the channel the Company reasonably specifies, including source files where applicable.
  2. The Company has a reasonable review period after delivery to accept the Deliverables or request corrections against the description in section 1. The Creator will make corrective revisions within the scope of that description at no extra charge.
  3. Acceptance does not reduce the Creator's commitments in section 6.

5. Payment

The Company will pay the Creator Fee amount and currency, according to the following schedule and invoicing terms: Payment schedule. Payment obligations for work properly performed survive termination.

6. Creator commitments

  1. The Deliverables will be original to the Creator, except for disclosed creator materials and approved third-party content.
  2. The Deliverables will not infringe any third party's intellectual property, privacy, or other rights, and the Creator has full authority to grant the rights in this agreement.
  3. The Creator will keep the Company's non-public information confidential and use it only to produce the Deliverables.
  4. The Creator is an independent contractor; nothing here creates employment, agency, or partnership.

7. Cooperation

During and after the engagement, the Creator will β€” at the Company's expense β€” sign documents and take reasonable steps the Company requests to evidence, register, or enforce the Company's ownership of the Deliverables.

8. Termination

  1. Either party may end this agreement on written notice if the other materially breaches it and does not cure within a reasonable stated period.
  2. On termination, the Company owns all Deliverables and partial work created up to the termination date, and will pay for work properly performed to that date.

9. General

  1. This agreement is the entire agreement about the commissioned work and replaces prior discussions about it.
  2. The Creator may not assign or subcontract without the Company's written consent; the agreement benefits the Company's successors and assigns.
  3. Amendments must be written and signed; an unenforceable provision does not affect the rest.
