This separation agreement and release (the "Agreement") records the terms on which the parties end their employment relationship. In exchange for the severance consideration described below, the employee releases the claims described in section 4. The Agreement becomes binding when both parties sign and any revocation period has passed.
Each party agrees not to make false or disparaging statements about the other. Nothing in this section prevents either party from making truthful statements required by law or to a government authority.
By the Separation Date, the Employee will return all Company property and will not keep copies of Company confidential information in any form.
The Employee has Review period in days days to consider this Agreement before signing and is encouraged to seek independent advice. After signing, the Employee may revoke acceptance within Revocation period in days days by written notice; the Agreement becomes effective once that period passes without revocation.
This Agreement is a compromise. Neither party admits any wrongdoing or liability by entering into it.
This Agreement, together with the surviving obligations referenced in section 6, is the entire agreement between the parties about the separation and can only be changed in a writing signed by both parties. If any provision is found unenforceable, the remainder stays in effect.
