The template

This agreement engages a consultant to provide advisory services to a client. It defines the advisory scope and expected outputs, the fees and expense rules, and confirms that the engagement does not create an employment relationship. It suits advisory engagements where the consultant guides decisions rather than delivering production work.

1. Parties and engagement

Client company name (the "Client") engages Consultant full name (the "Consultant") to provide consulting services starting on Engagement start date.

2. Advisory scope and deliverables

  1. The Consultant will advise the Client on: Consulting scope description.
  2. The expected outputs of the engagement are: Expected deliverables.
  3. The Consultant provides advice and recommendations; decisions based on that advice, and their outcomes, remain the Client's responsibility.
  4. The parties will review the scope periodically and record any refinements in writing so the engagement stays aligned with the Client's priorities.

3. Fees

  1. The Client pays the Consultant Consulting fee and payment basis (for example, a monthly fee, a day rate, or a fee per phase).
  2. The Consultant invoices monthly unless the parties agree otherwise, and undisputed invoices are payable within Payment terms in days days of receipt.
  3. Fees are exclusive of any applicable taxes, which are added to invoices where required and borne as the law allocates them.

4. Expenses

The Client reimburses reasonable expenses that it approves in writing in advance — such as travel it requests — against receipts. All other costs of performing the services are the Consultant's own. Expense reports are submitted with receipts within a reasonable time after the cost is incurred.

5. No employment relationship

  1. The Consultant is an independent contractor. This agreement does not create an employment, agency, or partnership relationship between the parties.
  2. The Consultant is responsible for their own taxes, insurance, and statutory contributions, receives no employee benefits, and may serve other clients provided there is no conflict with this engagement.
  3. Neither party may make commitments on the other's behalf.
  4. The Consultant will disclose promptly any engagement that creates a real conflict of interest with the services and will not use the Client's confidential information for any other client.

6. Work product

Reports, analyses, and other materials the Consultant prepares specifically for the Client are assigned to the Client upon payment. The Consultant retains ownership of methods, frameworks, and pre-existing materials, and grants the Client a non-exclusive, perpetual license to use any that are included in the work product.

7. Confidentiality

Each party will keep the other's non-public business information confidential, use it only for this engagement, and return or delete it at the end. The Consultant may describe the engagement generically in their credentials unless the Client asks otherwise in writing. Confidential information does not include information that is already public or already lawfully known to the receiving party. This clause survives the agreement.

8. Term and termination

  1. The engagement continues until the scope is completed or the agreement is terminated.
  2. Either party may end it with Termination notice period in days days' written notice, or immediately for a material breach that is not cured within a reasonable period after written notice.
  3. On termination, the Client pays the fees earned and approved expenses incurred through the effective end date, and the Consultant delivers work in progress.
  4. Clauses that by their nature survive — confidentiality, ownership, and payment for work performed — remain in effect after termination.

9. General

This agreement is the entire understanding between the parties on its subject, replaces prior discussions, and may be changed only in a writing signed by both parties. Neither party may transfer it without the other's written consent, except as part of a sale of its business, and notices are given in writing to the contact details each party provides. If any provision is found unenforceable, the rest remain in effect.
