This agreement engages a consultant to provide advisory services to a client. It defines the advisory scope and expected outputs, the fees and expense rules, and confirms that the engagement does not create an employment relationship. It suits advisory engagements where the consultant guides decisions rather than delivering production work.
Client company name (the "Client") engages Consultant full name (the "Consultant") to provide consulting services starting on Engagement start date.
The Client reimburses reasonable expenses that it approves in writing in advance — such as travel it requests — against receipts. All other costs of performing the services are the Consultant's own. Expense reports are submitted with receipts within a reasonable time after the cost is incurred.
Reports, analyses, and other materials the Consultant prepares specifically for the Client are assigned to the Client upon payment. The Consultant retains ownership of methods, frameworks, and pre-existing materials, and grants the Client a non-exclusive, perpetual license to use any that are included in the work product.
Each party will keep the other's non-public business information confidential, use it only for this engagement, and return or delete it at the end. The Consultant may describe the engagement generically in their credentials unless the Client asks otherwise in writing. Confidential information does not include information that is already public or already lawfully known to the receiving party. This clause survives the agreement.
This agreement is the entire understanding between the parties on its subject, replaces prior discussions, and may be changed only in a writing signed by both parties. Neither party may transfer it without the other's written consent, except as part of a sale of its business, and notices are given in writing to the contact details each party provides. If any provision is found unenforceable, the rest remain in effect.
