This agreement sets out the terms under which the Company pays a bonus for a successful employee referral. It records who is eligible, how the bonus is paid, and when it may be recovered, and takes effect once both parties sign.

1. The referral bonus

Company name (the "Company") will pay Employee full name (the "Employee") a referral bonus of Referral bonus amount and currency when a candidate the Employee referred is hired and the conditions in this agreement are met.

2. Eligibility

1. The referral must be submitted through the Company's designated channel: Referral submission channel, before the candidate applies through another route.
2. The Employee must be the first person to refer the candidate. Where two people refer the same candidate, the earliest recorded submission controls.
3. A referral is not eligible when the referring employee is the hiring manager for the opening, takes part in the hiring decision for it, or is responsible for recruiting as part of their role.
4. The candidate must be a genuine personal or professional contact of the Employee; bulk submissions of unknown profiles are not eligible.

3. Payout

1. The bonus is paid on the following schedule: Payout schedule summary.
2. A common structure is one installment after the referred hire starts and the remainder after they complete an agreed initial period; the schedule stated above controls for this agreement.
3. Both the Employee and the referred hire must be employed by the Company, and not under notice of resignation or termination, on each payout date for that installment to be due.
4. Payments are made through payroll and are subject to applicable withholdings.

4. Clawback

1. If the referred hire resigns or is dismissed for cause within Clawback period length after their start date, any installments not yet paid lapse, and the Company may recover installments already paid, on a pro-rated basis, where permitted.
2. No recovery applies if the referred hire's employment ends because the Company eliminated the position or ended their employment without cause.

5. General terms

1. A referral is an introduction, not a hiring decision. The Company evaluates every candidate through its normal process, and no explanation is owed if a referred candidate is not hired.
2. The Company may change or end its referral program prospectively; a change does not affect a bonus already earned under this agreement.
3. This agreement supplements the employment agreement and does not change any other term of employment.
