This agreement sets out the terms under which an independent contractor provides services to a client on an hourly basis. It covers the scope of work, the rate and invoicing process, ownership of work product, and how either party may end the engagement.
Client company name (the "Client") engages Contractor full name (the "Contractor") to provide the services described in this agreement, starting on Engagement start date.

The Contractor supplies their own equipment and tools and bears their own working costs. The Client reimburses only expenses it approves in writing in advance, against receipts. If the Client requires specific software, subscriptions, or travel, it either provides them directly or approves the cost in writing before it is incurred.
Each party will keep the other's non-public business, technical, and financial information confidential, use it only for this engagement, and return or delete it when the engagement ends. Confidential information does not include information that is already public, already known to the receiving party without restriction, or independently developed without using the other party's information. This obligation survives the end of the agreement.
This agreement is the entire understanding between the parties on its subject, replaces prior discussions, and may be changed only in writing signed by both parties. Neither party may transfer this agreement without the other's written consent, except as part of a sale of its business, and notices under this agreement are given in writing to the contact details each party provides. If one provision is found unenforceable, the rest remain in effect.
