This statement of work (the "SOW") is issued under the master services agreement between the parties and describes one specific project: its deliverables, timeline, acceptance process, and fees. If this SOW conflicts with the master agreement, the master agreement controls unless this SOW expressly says otherwise. It is designed to be attached to a master services agreement so the commercial and legal baseline does not need to be renegotiated for every project.
This SOW, number Statement of work number, is entered into by Client company name (the "Client") and Provider name (the "Provider") under their master services agreement dated Master agreement date. Defined terms from the master agreement keep their meaning here.

Rows that are not needed should be marked "not used". Due dates move only by written agreement, and delays caused by the Client β such as late feedback or missing inputs β extend them by a corresponding period. Each deliverable includes the reasonable documentation needed to use it β for example, source files, handover notes, or access credentials, as applicable. The parties review progress against this table at a cadence the contacts agree; weekly works for most projects.
Changes to the deliverables, timeline, or fees of this SOW are made through a written change order signed by both parties before the changed work begins. Neither party is obligated by a change discussed but not signed. A change order records the new deliverables, dates, and fees, and becomes part of this SOW once signed.
This SOW runs from its start date until all deliverables are accepted and paid, unless it is terminated earlier in accordance with the master agreement. Provisions of the master agreement that by their nature apply after the end of a SOW β such as confidentiality and ownership of accepted work β continue to apply. If this SOW is terminated early under the master agreement, the Client pays for deliverables already accepted and for work in progress up to the effective end date, and the Provider hands that work over.
